Terms & Conditions of Trading
In all following paragraphs, the terms "you" and "your" refers to the customer purchasing an advert on property.oursource.co.uk. Or using the site as in information source. "We" "us" "our" "ours" refers to OurSource Ltd.
General
In these terms and conditions:
a. 'Customer' means any person, company, organisation or firm which purchases Services from us;
b. “Buyers” means any person, company, organization or business owner that uses this site to gather information or access the properties for sale advertised on the site
c. 'Order Form' means an order for Services on a form provided by us (in any format) and signed by a Customer;
d. 'Services' means all property products and services made available by us from time to time;
e. 'Contract Month' means, in respect of any Order Form relating to the provision of Services for a specified period of months, the calendar month commencing on the start date specified in the Order Form and ending on the day before the same date in the next calendar month.;
f. 'Contract Term' means the full term specified in the Order
Terms of use
By using the site and the services available on it you are deemed to accept these terms and conditions and any additional terms and conditions which expressly apply to services and information provided by third parties.
Use of the site
The information and services available on this section of the site are provided for the sole purpose of property owners seeking to looking to buy or sell hospitality businesses.
Buyers
All buyers will be offered a free comprehensive business buyer review delivered by approved 3rd party specialists governed by the Financial Services Act 1986
This site contains links to websites operated by third parties. We have no control over their individual content. We therefore make no warranties or representations as to the accuracy or completeness of any of the information appearing in relation to any linked websites. The links are for your convenience only. We do not recommend any products or services advertised on those websites. If you decide to access any third party website linked from this Site, you do so at your own risk.
The details of the properties available on this site are provided to us by our affiliated estate agents for your information only. We cannot verify these details and therefore make no warranties or representations as to their accuracy or completeness. If you rely on these details, you do so at your own risk.
Registration
To receive details of properties on this Site, you must submit a completed registration form to us. At our discretion, we may refuse your application for registration. If we accept your application for registration, we will confirm this by sending you an email.
You undertake that all information provided by you for the purposes of registering with us is accurate and complete.
Sellers
You warrant that in relation to each advertisement placed for publication with us;
That you are the legal owner of the property with the sole right to sell, or you have either legal power of attorney on behalf of the property owner or the full consent of any co-owners.
That all details supplied by you for publishing are, to the best of your knowledge, fair, honest, accurate and not misleading in any material way.
The accuracy of the information you supply is your responsibility and you agree to indemnify us against any legal claims or other expenses that arise as a result of misleading or inaccurate claims you make about the property you are advertising.
We reserve the right to edit or delete any descriptions, which we believe to be inaccurate, misleading or fanciful.
Property and business profile descriptions should only include factual descriptions and which can be verified by reasonable inspection, or in the case of any legal aspects, confirmed by available documentation.
The reproduction and/or publication of such advertisement will not breach any contract or infringe or violate any copyright, trademark, or any other personal or proprietary right of any person or render us liable to any proceedings whatsoever;
The advertisement complies with the requirements of all relevant legislation (including subordinate legislation, the rules of statutory regulatory authorities, and the law of the European Community) for the time being in force in the United Kingdom;
All the advertisements submitted to us are legal, decent, honest and truthful, and comply with the British Code of Advertising Practice and all other relevant codes under the general supervision of the Advertising Standards Authority.
You are the owner of or you are authorised to release for publication all images, text, logos etc incorporated in the advertisement submitted to us for publication and in the event of any dispute between us and the Copyright owner you warrant that you will hold us indemnified as to the costs of any action for breach of Copyright and any damages following thereon.
Where there is a dispute as to content of the advertisement, our decision is final.
Though we take every precaution to ensure that all advertisements appear correctly it is your responsibility to check advertisements and notify us of any mistake or inaccuracy immediately when it appears. However we will make every effort to ensure accuracy at all times
We will not be liable for any loss of original or copy artwork, photographs or other materials howsoever caused. You will provide such materials and warrant that you have retained the same in sufficient quality and quantity for whatever purpose.
Although we take every precaution to ensure that all links remain “live” it is your responsibility to check links remain unbroken and notify us should the link not be working effectively. However we will make every effort to ensure link effectiveness at all times.
You will indemnify us from and against any claims or liability arising from content or links contained in your advertisements
Illegal Advertisements
Illegal advertisements may result in proceedings being taken against both the advertiser and the publisher. If we believe that an advertisement may be illegal we may at our discretion either amend the advertisement or remove it from property.oursource.co.uk without liability to you to make any refund of amounts paid or due to be paid in respect of the posting or otherwise and will inform you accordingly.
If we are required by the Trading Standards, Police or any other similar person or body to disclose information relating to any such advertisement, you authorise the disclosure of such information and acknowledge that we are acting in good faith and you acknowledge that you have no right or cause of action in respect of that disclosure.
Estate agencies and business agents
If you are an estate agency or business agent (as defined by the Estate Agents Act 1979 ('the Act')) it is your responsibility to ensure that advertisements you place on property.oursource.co.uk comply with your obligations under the Act. You agree to comply with the Act and these regulations as they affect the conduct of your business and the advertisements you place on property.oursource.co.uk
Property advertisements placed on property.oursource.co.uk must be genuine adverts for hospitality, leisure and tourism businesses only and that these businesses must be genuinely for sale at the time of advert placement
Services Included
The Property Source Service will provide:
1. An advert on the Property Source website consisting of:
- No more than ten photographs, which are to be provided by the advertiser.
- A detailed description of the property, business and private owners accommodation for sale [of no more than 1000 words] to be provided by the advertiser in the format approved by OurSource Ltd
- Contact details for the business, or nominated agent.
- The businesses consumer website details ( if applicable)
- All buyers will be offered a free comprehensive business buyer review delivered by approved 3rd party specialists governed by the Financial Services Act 1986
2. Sellers Hints & Tips
3. Provide access for the general public to sellers guide via the Property Source Website
4. Upload the advertisement described to a number of portal sites to be determined by OurSource Ltd from time to time.
5. Include the adevrt property details within a minimum of 3 adverts in national and/or trade press to be detirmined by OurSource Ltd.
Services not included:
Our Source Ltd will not
- Carry out a valuation or survey of the Property
- Negotiate with buyers on behalf of the Service Recipient
- Draft or prepare the Property description or business profile to be included In the advertisement
- Provide photographs to be included in the advertisement
- Instruct or liaise with any professional body (i.e. surveyors, lenders or solicitors) in relation to the sale of the Property
- Arrange viewings or liaise between buyer or sellers
Commencement of Services
We will not commence the provision of Services pursuant to any Order Form until the Order Form has been returned to us, in a form approved by us and signed by the Customer and payment has been received.
Prices
Prices are guaranteed for the period stated on the Order Form.
Any jobs posted in addition to the agreed number of jobs per month will be charged at a price per job agreed with the customer at the time of the contract negotiation.
Any Services to be used within any time period specified on the Order Form are not used within that period of time they may not be carried over into any subsequent period without our prior written consent. The Customer will be responsible for payment for any unused Services.
Payments
All prices exclude VAT. All invoices are payable within 10 days. Late payment will entitle us to suspend provision of Services. Interest will be payable on late payments at the rate of 3% above Lloyds plc’s base rate.
Responses to advertisements
You agree to deal fairly and professionally with individuals who may respond to an advertisement you have posted and not do anything which may bring oursource.co.uk into disrepute.
You will indemnify us from and against any claim brought by an individual against OurSource Ltd arising from your breach of this obligation or any other of these terms and conditions.
Exclusion of liability
In accordance with normal business agents practice, OurSource Ltd will offer the business for sale at the price specified as asking price or at such price or on such term as OurSource Ltd and the vendor shall from time to time agree.
OurSource Ltd will not be liable for any loss of profit, diminution in sale or loss arising from its adopting and marketing method in preference or substitution for any other method.
The vendor shall indemnify OurSource Ltd against all claims and costs incurred by them arising out of any advertising, misrepresentations, mis-statement or failure to co-operate on the part of the vendor
Equipment
It is your responsibility to ensure that you have the appropriate equipment and are connected to the appropriate services to enable you to post adverts to property.source.co.uk
These Conditions shall be interpreted in accordance with and governed by English law.
